Terms of Service

These Terms of Service ("Terms") govern your use of YoSurprise, a SaaS platform operated by Kishiva Technologies Private Limited ("Company", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

YoSurprise provides a software-as-a-service platform that enables businesses ("Brands") to create and run gamified coupon campaigns. Customers can interact with campaigns via QR codes, play games (Spin Wheel, Scratch Card, or Random Reveal), and receive coupon codes via WhatsApp. Brands can track redemptions through the dashboard and integrate with third-party systems including PetPooja POS and Odoo ERP.

2. Account Registration

  • You must be 18 years or older and have legal authority to enter into contracts on behalf of your business.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate, current, and complete information during registration and keep it updated.
  • One account per brand. Sharing accounts between multiple businesses is not permitted.
  • You are responsible for all activity that occurs under your account.

3. Subscription Plans and Billing

  • Free Trial: New accounts receive a 14-day free trial with 1 campaign and 100 coupons per month. No credit card required.
  • Paid Plans: Starter, Growth, and Enterprise plans are available on monthly or yearly billing cycles. Prices are listed on our pricing page and are subject to GST as applicable.
  • Billing: Subscriptions are billed in advance. Indian customers are billed in INR via Razorpay. International customers are billed in USD via Stripe.
  • Upgrades: Take effect immediately; you are charged the prorated difference.
  • Downgrades: Take effect at the end of the current billing period.
  • Cancellation: You may cancel at any time. Access continues until the end of the paid billing period. No refunds are issued for partial periods unless required by law.
  • Failed Payments: If a payment fails, we will attempt re-billing over 7 days before suspending your account.

4. Acceptable Use Policy

You agree not to use YoSurprise to:

  • Send spam, unsolicited messages, or engage in mass harassment
  • Create campaigns for illegal products, gambling (unless licensed), adult content, tobacco, or weapons
  • Abuse the coupon system by generating fraudulent coupons or circumventing limits
  • Reverse-engineer, scrape, or attempt to extract source code from the platform
  • Impersonate another business or individual
  • Violate any applicable law, regulation, or third-party rights
  • Introduce malware, viruses, or harmful code

Violations may result in immediate account suspension without refund.

5. Data Processing and Roles

You as a Brand are the Data Controller for the personal data of your customers (end users who receive coupons). You are responsible for having a lawful basis to collect and process that data, and for maintaining your own privacy policy visible to your customers.

YoSurprise is your Data Processor. We process end-customer data (phone numbers, coupon interactions) on your behalf and under your instructions as described in our Privacy Policy and Data Processing Agreement available at /privacy.

By using the WhatsApp delivery feature, you confirm that your customers have consented to receive messages from your business via WhatsApp.

6. Intellectual Property

YoSurprise and all related technology, UI, logos, and content are owned by Kishiva Technologies Private Limited and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your business.

Content you upload (brand logos, campaign names, offer descriptions) remains your property. You grant us a licence to display it within the platform and gamification pages.

"Powered by YoSurprise" branding appears on gamification pages and QR downloads for Starter and Growth plan users. Enterprise plan users may remove this watermark.

7. Limitation of Liability

To the maximum extent permitted by law, YoSurprise and its directors, employees, and agents are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, data, or business opportunities
  • Errors or interruptions in WhatsApp message delivery (subject to Meta/WhatsApp's infrastructure)
  • Third-party integration failures (PetPooja, Odoo, payment gateways)

Our total aggregate liability to you shall not exceed the amount paid by you in the 3 months immediately preceding the claim.

8. Service Availability and SLA

We aim for 99.5% monthly uptime. Planned maintenance will be announced with 24 hours' notice. We do not guarantee uninterrupted or error-free service and are not liable for downtime caused by third-party providers, force majeure events, or factors outside our reasonable control.

9. Termination and Suspension

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees after grace period
  • Engage in fraudulent activity
  • Receive excessive abuse/spam complaints via WhatsApp

You may terminate your account at any time via Settings → Danger Zone. Upon termination, your data is retained per our Privacy Policy retention schedule and then permanently deleted.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Before commencing legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days.

11. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or an in-app announcement. Continued use of YoSurprise after the effective date of changes constitutes your acceptance. If you do not accept the changes, you must stop using the Service and cancel your subscription.
